We are seeking an experienced Senior Director, Corporate Counsel, to join our global Legal team. Reporting directly to the Executive Vice President, General Counsel & Chief Compliance Officer, this highly visible role will serve as a trusted legal advisor supporting the Company's corporate governance, entity management, strategic transactions, and general corporate legal matters.
The successful candidate will combine strong technical legal expertise with practical business judgment and the ability to influence stakeholders across all levels of the organization. Responsibilities:
Strategic Transactions
- Support mergers, acquisitions, divestitures, reorganizations, and other strategic corporate transactions.
- Conduct legal due diligence and assist with transaction documentation, integration planning, and post-closing activities.
- Advise business leaders on corporate legal risks associated with strategic initiatives.
Corporate Governance & Entity Management
- Lead corporate governance activities for domestic and international legal entities, ensuring compliance with applicable laws, regulations, and corporate governance standards.
- Oversee global entity management, including entity formations, dissolutions, qualifications, restructurings, annual compliance filings, and maintenance of corporate records.
- Prepare and review board resolutions, written consents, corporate minutes, governance documentation, and organizational records.
- Partner with outside counsel on corporate governance and international entity matters.
Legal Advisory
- Provide practical legal advice across a broad range of corporate matters, including commercial contracts, employment issues, intellectual property, regulatory matters, and general corporate law.
- Partner with Finance, Treasury, Tax, HR, Compliance, and other business functions to identify legal risks and develop practical solutions.
- Conduct legal research and provide timely guidance on evolving legal and regulatory developments impacting the business.
Process Improvement & Legal Operations
- Develop and enhance legal policies, governance frameworks, templates, and operational processes that improve efficiency and mitigate legal risk.
- Help drive continuous improvement initiatives within the Legal department, leveraging technology and best practices.
- Manage outside counsel relationships for assigned matters, including budgeting and oversight.
Required Qualifications:
- Juris Doctor (JD) from an accredited law school.
- Active membership in at least one U.S. state bar and in good standing.
- 10 years of progressive legal experience practicing corporate and transactional law, including both private practice and in-house experience.
- Strong experience with mergers and acquisitions, corporate governance, global entity management, and commercial transactions.
- Demonstrated ability to advise senior executives on complex legal and business matters.
Preferred Qualifications:
- Experience with multinational or privately held companies.
- Experience supporting international subsidiaries and cross-border legal matters.
- Familiarity with corporate compliance, and board governance.
- Experience implementing legal process improvements and managing outside counsel.
