RESPONSIBILITIES:


The Assistant General Counsel will serve as a key legal advisor and the organization’s central legal resource for matters involving corporate compliance, labor & employment and data privacy while partnering closely with business unit leadership in a decentralized model. This role provides strategic and practical guidance, develops scalable, enterprise-wide tools and frameworks, and empowers local leaders to execute day-to-day responsibilities in alignment with our CLEAR principles and legal and regulatory requirements. The ideal candidate is proactive, collaborative, business‑minded and skilled at influencing decision making without direct authority across an organization.


Key Responsibilities:


Compliance

  • Lead the maintenance, improvement and monitoring of the company’s enterprise-wide compliance policies, standards and controls across decentralized teams.
  • Partner with business unit leadership and applicable stakeholders to interpret regulatory requirements and adapt compliance practices to local operational realities.
  • Conduct compliance risk assessments and support the implementation of mitigation strategies with local business teams.
  • Conduct, and in some instances oversee, internal investigations related to ethics, misconduct, or regulatory concerns in concert with HR and business unit leadership where appropriate.
  • Deliver compliance training, including anti‑corruption, anti-bribery, conflicts of interest, and code of conduct and create scalable resources that local teams can deploy independently.
  • Support audit processes and regulatory inquiries, coordinating across business units where necessary.


Labor & Employment

  • Provide legal guidance on federal, state, and local employment laws and workplace practices, enabling HR business partners and business unit leadership to handle day-to-day employee relations within defined frameworks.
  • Maintain and review employment agreements, separation agreements, policies, and handbooks, providing scalable tools and frameworks where possible.
  • Advise on complex or high-risk employment matters escalated from business unit leadership or HR.
  • Support investigations into employee concerns, collaborating with HR and business unit leadership to ensure consistent processes.
  • Deliver training where necessary, and oversee compliance with wage and hour laws, leave laws, and workplace safety requirements.
  • Coordinate with outside counsel on employment litigation, administrative charges, and complex labor and employment matters.
  • Assist with due diligence review in M&A transactions.


Data Privacy & Security

  • Serve as the central subject‑matter expert on data protection laws (e.g., GDPR, CCPA/CPRA, HIPAA if applicable) ensuring business units continue to have complaint data practices.
  • Maintain and update existing privacy policies, notices, data governance frameworks and data processing agreements.
  • Partner with IT and product teams to assess data‑handling practices and ensure consistent and appropriate safeguards across the organization.
  • Review and negotiate data processing agreements, vendor contracts, and cross‑border data transfer mechanisms.
  • Support incident response efforts by helping coordinate cross-functional teams and assessing legal obligations.
  • Conduct privacy impact assessments and advise on new products, technologies, and data‑driven initiatives ensuring business units understand their responsibilities and escalation triggers.
  • Monitor global privacy developments and translate them into actionable guidance for business unit teams.


EDUCATION REQUIREMENT(S):

  • Juris Doctor (JD) from an accredited law school; admitted to practice in at least one U.S. jurisdiction.


EXPERIENCE REQUIREMENT(S):

  • 7–10 years of relevant legal experience, including in‑house or law firm roles focused on compliance, employment law, and/or data privacy. Experience in a multi-national company a plus.
  • Experience supporting or operating within a decentralized structure and demonstrated ability to create scalable legal frameworks and empowering non-legal teams to execute.
  • Strong working knowledge of U.S. employment laws and global privacy frameworks. Experience with international labor and employment laws a plus.
  • Excellent judgment, communication skills, and ability to translate legal requirements into practical business guidance.
  • Strong organizational skills and comfort managing multiple priorities across decentralized teams.


ADDITIONAL INFORMATION:

  • Due to International Traffic in Arms Regulations (ITAR) and Export Administration Regulations (EAR) requirements, all candidates must be presently classified as a “US Person" which includes: a United States citizen; a permanent legal resident (green card holder); or a protected individual (refugee/asylum status).
