Key Responsibilities
Lead and manage all legal aspects of commercial real estate transactions, including acquisitions, dispositions, joint ventures, leasing, and financings.
Structure, review, and negotiate agreements for the acquisition of non-performing loans (NPLs) and distressed assets, including note purchase agreements, intercreditor agreements, and loan modifications.
Advise on legal strategies related to foreclosure, bankruptcy, receivership, and asset recovery.
Manage relationships with external counsel and ensure efficient, cost-effective support on complex or high-risk matters.
Provide guidance on regulatory compliance, risk management, and due diligence processes.
Oversee entity formation, corporate governance, and other general corporate legal matters.
Collaborate cross-functionally with investment, asset management, and finance teams to support business objectives.
Qualifications
* J.D. from an accredited law school; active bar membership in good standing.
* Minimum 8–12 years of legal experience, with a focus on commercial real estate and distressed debt; a mix of law firm and in-house experience preferred.
* Extensive experience drafting and negotiating complex real estate and loan agreements.
* Strong knowledge of foreclosure, bankruptcy, and creditor rights processes.
* Proven ability to manage multiple high-stakes transactions under tight timelines.
* Business-minded with a practical, solution-oriented approach to legal issues.
