Business LEAP www.business-leap.com is looking for an experienced and dynamic Corporate Compliance
Manager to join our team. This is a hybrid role, offered to candidates based in the Southern California area.
The role will require some travel to Business LEAP’s El Segundo (Los Angeles) CA office.
This position will have primary responsibility to deliver highly efficient corporate governance support
services and company secretary officer appointments to a diverse portfolio of US domiciled small to medium sized businesses.
This role occupies a pivotal relationship role within the business work directly with foreign based parent
companies (e.g., UK, Australia, Canada) and assist as their US-resident corporate governance expert and
appointed company secretary.
This position will suit someone who enjoys building strong professional and personal relationships with
customers and who can use excellent communication skills to clearly articulate the value of Business
LEAP’s services and how it relates to each client in a unique way. An experienced team with the requisite
payroll, bookkeeping, accounting, HR, insurance, and related administrative skills will complement your
expertise.
The successful candidate will have a keen interest in creating scalable governance processes for our
clientele and collaborate with Business LEAP’s staff and cross-functional partners across payroll, HR,
finance, tax, treasury to ensure seamless delivery of services.
Key Tasks:
Develop, implement, and monitor the Company’s compliance programs, policies, and procedures
to ensure alignment with applicable laws and regulations.
Stay current with regulatory changes and industry trends affecting the Company and its operations.
Liaise with regulatory bodies and act as point of contact for compliance-related inquiries and
investigations.
Advise and prepare all documentation relating to new entity formation.
Assist with bank account establishment.
Act as appointed Company Secretary for Business LEAP, and Business LEAP’s customers where
required.
Oversee and manage all aspects of US subsidiary / affiliate entity maintenance, including
maintaining entity management database and corporate records, completing periodic filings or
registrations (Federal, State, Local), facilitating directors’ and officers’ changes, and coordinating
across internal stakeholders and third-party service providers to ensure a robust global governance
process.
Maintain board and shareholder meeting minutes and consents and other compliance
documentation.
Assist with requests for information and documentation (internal stakeholder or audit related)
US beneficial ownership information (BOI) preparation and processing
Develop templates, forms and other compliance documents. Coordinate approvals, signatures,
notarization, and legalization of documents.
Help with the corporate governance processes including taking the lead on general recordkeeping,
preparation, and organization of materials.
Maintain documentation and records required for compliance with laws, regulations, and policies.
Coordinate across functional areas including Legal, Sales, Tax, Finance, Treasury, Payroll, HR and
business sponsors to drive efficiencies and implement repeatable processes.
Manage outside local counsel and third-party vendor activities and budget related to subsidiary
governance matters.
Manage incoming inquiries from new and existing clients and coordinate responses
Other ad hoc / related tasks, as assigned to you from time to time
Required Skills:
Highly proficient in Microsoft Office Suite (Outlook, Word, Excel, OneDrive, Teams, SharePoint),
Adobe Professional, and DocuSign.
Ability to collaborate with multiple clients and cross functional teams in a fast-paced environment.
Ability to maintain confidentiality.
Excellent attention to detail and problem-solving skills.
Superior written and verbal communication, research, and organizational skills.
Self-motivated, with the ability to work effectively in a remote work environment.

Strong document management and retention skills.
Experience working with Accelo (CRM System) and Practice Protect (Cyber Security) is a plus.
Education and Experience Requirements:
Bachelor college degree (Law, Business Administration, or Finance related field preferred).
Minimum 5-10 years’ experience working with small to medium sized US companies across
company secretary and governance disciplines.
Excellent understanding of US entity structures and their respective pros/cons, entity formation
documentation and ongoing entity compliance and maintenance.
Superior understanding of US business qualifications, registrations, and licensing by State.
Experience working with foreign owned entities is an advantage.
Strong leadership, communication, and analytical skills.
Ability to work independently and manage multiple projects with varying deadlines.
