Corporate Paralegal (Part-Time)

REMOTE – MUST REISIDE IN TEXAS - OUT OF STATE APPLICANTS WILL BE AUTO-REJECTED. Position: Corporate ParalegalPay: Will send up to $45/hourContract: 3 months (contract could be extended, and hoursneeded could increase—based on workload)Hours: Mornings—15—20 hours/week HOT BUTTONS: We are looking for someonethat can work independently providing support for our domestic subsidiaries(drafting minutes and resolutions for annual shareholder and director meetings,filing the documents with the respective Secretaries of State, drafting powersof attorney, uploading documents to CSC Portal), international subsidiaries(director changes) and CSC Portal database audit and remediation ( assess thedatabase, conduct a Gap Analysis, and update data where appropriate).Position Summary: We are seeking adetail-oriented and experienced Corporate Paralegal joinour client's Legal team. The successful candidate will support the legal department inall aspects of corporate secretarial matters and day-to-day corporategovernance of domestic and international subsidiaries. This role requires astrong understanding of corporate structures, governance requirements, andlegal documentation. Key Responsibilities: Prepare and file corporate documents including formation, dissolution, mergers, and amendments. Draft and maintain corporate resolutions, meeting minutes, consents, and other governance documents. Manage director and officer changes, including preparation of appointment and resignation documentation. Draft and review powers of attorney and other legal instruments. Maintain corporate records and entity management databases. Assist with annual report filings and compliance with domestic and international requirements. Coordinate annual board meetings, including scheduling, agenda preparation, and minute-taking. Conduct legal research and assist with due diligence for corporate transactions. Assist with Know Your Client (KYC) and Ultimate Beneficial Ownership (UBO) documentation. Liaise with both internal and external legal resources on corporate governance matters. Monitor changes in corporate governance laws and regulations and assist with implementation.Qualifications: Strong knowledge of domestic and international corporate governance, entity management, and regulatory compliance. Proficiency in Microsoft Office Suite and legal entity management software. Excellent organizational, communication, and analytical skills.
