Job Description
The attorney will be a member of Brookfield’s real estate team responsible for global real estate private fund legal operations. Brookfield centralizes fund formation responsibilities in the Brookfield Global Client Group, and all legal operations post-investor closings are the responsibility of Brookfield’s real estate funds team.
Responsibilities:
- Serve as lead in-house counsel for a variety of real estate private funds, including real estate equity, credit and secondary closed-end and open-end funds
- Oversee real estate fund legal operations post-investor closings, including:
- Leading investment structuring with finance operations and tax teams and overseeing corporate governance matters for all fund entities
- Negotiating credit facilities and ISDAs
- Reviewing investment committee memorandums
- Preparing and reviewing conflicts committee and LPAC materials
- Taking a lead role in co-investments, including investor negotiations
- Ensuring business operations are in compliance with fund agreements and regulations
- Draft and negotiate ancillary fund operational legal documents, including confidentiality agreements and service provider contracts
- Assist in regulatory compliance aspects of funds
- Coordinate with Brookfield’s Global Client Group in fundraising and launch of new products
- Oversee outside counsel and service providers
Qualifications:
- J.D. with at least 6 years of experience as a lawyer in a major law firm or in-house
- Private fund experience and knowledge of the U.S. Investment Advisers Act of 1940 and U.S. securities laws required
- Exceptional attention to detail
- Excellent interpersonal, written and verbal skills
- Strong organizational and time management skills
Salary Range: $280,000 - $360,000
Our compensation structure is comprised of a base salary and a short-term incentive program (cash bonus). Cash compensation tends to vary based on geography to account for local market conditions and is set to be market competitive. Compensation decisions are based on a number of factors including relative experience, overall years of experience, industry experience, education and designations.
