We are hiring for an experienced Corporate Paralegal based in Fremont, CA to support the corporate team with legal work.
Responsibilities
- Manage the full NDA lifecycle, including intake, drafting, review, negotiation, execution, tracking, renewals, and terminations.
- Serve as the primary legal user for the company’s CLM system, Malbek, and support process improvements, automation, and template management.
- Draft, review, and support commercial agreements, including NDAs, MSAs, SOWs, vendor agreements, license agreements, amendments, and related documents.
- Maintain corporate records and support governance matters, including board and shareholder consents, minutes, Secretary’s Certificates, incumbency certificates, and annual filings.
- Manage domestic and international entity maintenance, including director/officer records, registrations, business licenses, and compliance filings.
- Coordinate document execution process
- Support audits, legal filings, lien enforcement, litigation, IP matters, and M&A due diligence, data rooms, closing binders, and post-closing compliance.
- Identify opportunities to streamline legal workflows, improve templates, and enhance legal operations.
Qualifications
- Minimum of 4 years of corporate paralegal or contracts management experience in law firm or in large in-house legal department.
- Strong experience drafting, reviewing, and negotiating NDAs and other commercial contracts.
- Knowledge of corporate governance, entity management, corporate recordkeeping, and regulatory filings.
- Proficiency with CLM systems and legal technology
- Excellent organization, attention to detail, judgment, communication, and cross-functional collaboration skills.
- Ability to manage competing priorities independently in a fast-paced environment.
- Bachelor’s degree or ABA-approved paralegal certificate required.
- California Notary Public required (or open to obtaining)
- Must be willing to work onsite Monday-Thursday, remote on Friday
Salary : $120,000 - $140,000
