Role Description The Associate will be responsible for supporting a range of corporate and transactional matters, including entity formation, financings, commercial agreements, and other business-focused legal work for growth-oriented clients. Day-to-day tasks include drafting, reviewing, and negotiating contracts and corporate documents; conducting legal research; preparing client communications and memoranda; and assisting with transaction management and closings. The Associate will collaborate with partners and team members to provide timely, business-minded advice to founders, operators, and emerging fund managers. The role is full time, on-site, and based in Lehi, UT, with regular in-person interaction with colleagues and opportunities for direct client exposure.
Qualifications
- Strong foundation in corporate and business law, including familiarity with entity formation, governance, and commercial transactions.
- Proficiency in legal research, analysis, and writing, with the ability to translate complex issues into clear, practical guidance.
- Experience drafting, reviewing, and negotiating contracts and other transactional documents with careful attention to detail.
- Effective client-service skills, including professional communication, responsiveness, and a collaborative approach to problem-solving.
- Excellent organizational and time-management abilities, with capacity to handle multiple matters and deadlines in a fast-paced environment.
- Juris Doctor (JD) from an accredited law school and active license to practice law, or eligibility to become licensed, in Utah.
- Interest in working with founders, operators, and emerging fund managers; prior experience with startups, venture capital, or emerging companies is a plus.
