Postion Overview:
BGS Consulting is seeking a high-impact M&A Services Senior Manager/Director to lead and expand our Transaction Advisory and M&A support capabilities. This role sits at the center of our Financial & Operational Diligence and Private Equity Value Creation offerings – helping clients move through transactions with clarity, confidence, and speed.
The Director will lead complex buy-side and sell-side engagements, deliver actionable insights to executive stakeholders, and drive business development initiatives to grow the firm’s M&A Services practice. This leader will play a critical role in delivering BGS’s mission of protecting value, reducing risk, and enhancing confidence across the deal lifecycle.
Location: Vienna, VA (Tyson’s)- (On-site 4 days a week, Remote Fridays)
Key Responsibilities:
Transaction Execution & Client Delivery
- Lead and manage multiple financial and operational diligence engagements, including:
- Quality of Earnings (QoE) analyses
- Net Working Capital assessments
- EBITDA normalization and financial performance analysis
- Validation of accounting environments and reporting infrastructure
- Deliver BGS’s CFO-led diligence approach, going beyond the numbers to assess key operational and financial drivers of value
- Identify risks, validate assumptions, and highlight opportunities that influence valuation and deal structure
- Provide clear, concise, and actionable insights to C-suite stakeholders, investors, and deal teams
- Support transactions across the full lifecycle—from pre-deal diligence through close and post-close readiness
Value Creation & Private Equity Services
- Lead client engagements focused on pre-close planning and Day 1 / 100-Day execution, including:
- Pre-close readiness assessments and planning
- Development of detailed, actionable 100-Day plans
- Establishment of financial reporting cadence, cash management, and control environments
- Integration or stand-up of finance operations
- Working capital and cash flow stabilization initiatives
- Partner with leadership teams to align priorities, establish operational discipline, and drive early wins post-close
- Translate strategic objectives into structured execution roadmaps that deliver rapid, measurable value creation
Practice Leadership & Team Management
- Lead, mentor, and develop high-performing teams across diligence and value creation engagements
- Ensure consistent delivery of high-quality, insight-driven outputs aligned with BGS standards
- Build and refine scalable methodologies, tools, and best practices across:
- Financial & Operational Diligence
- Day 1 / 100-Day Planning & Execution
- Foster a collaborative, high-performance culture grounded in accountability, quality, and client impact
Strategic Advisory
- Advise clients on deal strategy, financial performance, and operational risks
- Provide insights into value drivers, deal structuring considerations, and post-close priorities
- Support negotiation strategy through data-driven analysis and practical recommendations
- Partner with clients to ensure confidence from diligence through close and into execution
Qualifications & Experience:
- Bachelor’s degree in Accounting, Finance, or related field (MBA and/or CPA preferred)
- 10 years of experience in transaction advisory, financial due diligence, or M&A consulting
- Strong experience delivering Quality of Earnings and working capital analyses
- Experience supporting post-close integration, value creation, or 100-Day planning initiatives
- Proven track record of leading teams and managing complex engagements in a consulting or professional services environment
- Demonstrated ability to originate, develop, and grow client relationships

- Identify opportunities to expand service offerings and deepen client engagements across the deal lifecycle
