Associate General Counsel

BSNC is hiring an Associate General Counsel to support our growth and mission. Under the direction of General Counsel this role involves collaborating with key stakeholders to identify legal requirements, manage external legal relationships, and offer strategic guidance across BSNC’s companies.

• This role offers the flexibility of a hybrid work schedule, allowing you to work both remotely and from our offices in either Anchorage, Colorado Springs, Baltimore, or Sacramento.
  
  

Duties & Responsibilities

• Assist with development, oversight, maintenance, monitoring and audit of BSNC’s Corporate Ethics and Compliance Program.
• Respond to and investigate violations of laws, regulations, and policy by reviewing/ investigating, self-reporting or retention of outside counsel for civil or criminal matters.
• Manage BSNC’s Ethics Hotline and employee compliance website.
• Advise and counsel various departments on diverse legal matters, leveraging knowledge and experience with construction, employment law, and natural resources law.
• Deep experience in federal, state and local government contracting including solicitation review, bid and proposal support, negotiation, compliance, performance, dispute resolution, and contract closeout.
• Interpret and apply FARS, DFARS, agency supplements, and other relevant statutes and regulations.
• Draft, review, and negotiate government contracts, subcontracts, teaming agreements, joint venture agreements, NDAs, and other related documents.
• Provide counsel on small business programs, set-asides, socioeconomic certifications, and compliance obligations (e.g., SBA regulations, Service-Disabled Veteran-Owned Small Business (SDVOSB), 8(a) programs).
• Support audits and investigations, including responses to DCAA, DCMA, IG, GAO, and other agency inquiries.
• Advise on compliance matters related to cybersecurity requirements (e.g., CMMC, NIST 800-171), export controls (ITAR, EAR), and mandatory disclosure obligations.
• Monitor regulatory changes affecting government contracting and communicate impacts to stakeholders.
• Assist with internal training programs on government contracting compliance and best practices.
• Support dispute resolution matters, including bid protests (GAO, COFC), claims, terminations, and litigation strategy.
• Collaborate cross-functionally to develop risk mitigation strategies and ensure contractual obligations are properly managed.
• Oversee outside counsel and litigation.
• Perform other duties as assigned by the General Counsel.
  
  

Required (Minimum) Qualifications

• J.D from an accredited law school.
• Licensed to practice law in any U.S. state.
• At least 5 years of relevant legal experience.
