A premier global law firm is seeking a highly motivated Associate to join its Private Equity M&A practice in New York. This role offers the opportunity to work on sophisticated domestic and cross-border transactions for top-tier private equity sponsors and their portfolio companies.
Key Responsibilities
- Advise private equity sponsors and portfolio companies on acquisitions, divestitures, leveraged buyouts, growth equity investments, minority investments, and other complex transactions.
- Draft and negotiate purchase agreements, merger agreements, equity commitment letters, and ancillary transaction documents.
- Manage due diligence processes and coordinate with specialist teams (tax, finance, regulatory, employment, etc.).
- Lead transaction workstreams and supervise junior associates.
- Interface directly with clients, opposing counsel, and advisors to drive transactions to successful completion.
Qualifications
- J.D. from a top-tier law school with strong academic credentials.
- 3–6 years of relevant M&A experience at a major law firm, with substantial exposure to private equity transactions.
- Demonstrated ability to run significant portions of transactions independently.
- Strong drafting, negotiation, and project management skills.
- Admission to the New York Bar (or eligibility to waive in).
