Principal Duties and Responsibilities: 

 

  • Strategic and Organizational Leadership
    • Support the leadership team by providing insight that integrates legal, operational, and business perspectives.
    • Provide legal insight to support strategic initiatives related to growth, investment structure, and corporate initiatives.
    • Lead and collaborate with other legal and compliance personnel to develop scalable systems and processes to support expansion.
    • Manage and direct counsel relationships, ensuring effective use of resources and cost control.

  • Corporate Governance and Compliance
    • Support leadership team on corporate governance, organizational structure, and entity management.
    • Manage maintenance of corporate records, licenses, and filings across entities and jurisdictions.
    • Assist in development and implementation of compliance policies and internal controls to ensure adherence to federal, state, and local regulations.
    • Provide counsel in support of risk management practices, including insurance, indemnities, and contractual obligations.

  • Development and Operations Support
    • Provide counsel in support of compliance and risk management practices and process improvement objectives.
    • Assist in drafting and negotiating vendor, service, and construction contracts, ensuring terms align with company standards and operational goals.
  • Litigation Management
    • Manage and oversee all legal claims and litigation in conjunction with internal risk management personnel.
    • In collaboration with internal stakeholders, resolve claim and pre-litigation matters.
    • Maintain reporting mechanisms for litigation matters.

  • Intellectual Property Management
    • Advise business units on trademark and copyright issues affective their respective lines of business.
    • Develop and implement processes and procedures for protecting company intellectual property, brand identity, and reputation.

  • Employment Counsel
    • Provide counsel on employment law and human resource compliance, including policies, employee relations, and multi-state regulations.
    • Support human resources and operations in maintaining consistent, compliant employment practices across all business units.

  • Data Privacy and Security
    • In collaboration with company data privacy and security leaders, assist in implementation of appropriate data privacy and security policies.

 

Provide all other internal legal services as may be reasonably necessary that align with the organization’s objectives. 

 

Education and Experience Requirements: 

 

  • Juris Doctor (JD) from an accredited law school is required.
  • Active license to practice law in at least one U.S. state, with ability to obtain in-house counsel registration where applicable. 
  • Undergraduate degree is preferred in Business, Finance, or related field.
  • Advanced legal certifications (e.g., corporate governance, compliance, privacy) are a plus. 
  • 10 – 15 years of progressive legal experience, including significant experience in corporate in-house environment or a combination of in-house and large law firm experience. 
  • Extensive experience advising senior leadership on corporate, commercial, and strategic legal matters. 
  • Demonstrated expertise in one or more of the following:
    • Corporate governance and board support
    • M&A, joint ventures, and strategic transactions
    • Commercial contracts and negotiations
    • Compliance, regulatory, and risk management
    • Employment law oversight
  • Proven ability to lead and manage legal teams, outside counsel, and cross-functional initiatives.
  • Experience supporting C-suite executives and enterprise-wide initiatives.
  • Strong business acumen with the ability to influence, negotiate, and drive strategic outcomes. 
  • Experience operating in a complex, matrixed, or highly regulated environment preferred. 

 

 

Physical Requirements: 

 

This is primarily a sedentary office position which requires the Vice President, Corporate Counsel to have the ability to operate computer equipment, speak, hear, bend, stoop, reach, lift, and move and carry up to 25 lbs. Finger dexterity is necessary.
