Their Corporate Practice Group is seeking a highly skilled and motivated Corporate Attorney with 7 years of experience to join their Newark, New Jersey office. The ideal candidate will have significant experience handling sophisticated transactional, advisory, and general corporate matters for emerging growth and established companies across a range of industries, including life sciences.
Requirements
- Represent clients in a broad range of corporate and transactional matters, including mergers and acquisitions, joint ventures, strategic alliances, restructurings, and general corporate counseling.
- Structure, draft, and negotiate complex commercial agreements, including SaaS, licensing, distribution, supply, professional services, outsourcing, and product development agreements.
- Counsel clients on corporate governance matters, shareholder arrangements, employment agreements, and related disputes.
- Assist companies and investors with early-stage and venture capital financings, bank financings, strategic investments, and exit transactions, including mergers and acquisitions.
- Collaborate closely with clients to provide practical, business-oriented legal solutions tailored to their objectives and industry context.
Qualifications
- 7 years of relevant corporate transactional experience.
- Must be admitted to the New Jersey bar; admission to the New York bar is strongly preferred (a plus).
- Strong experience in mergers and acquisitions, corporate governance, commercial contracts, and financing transactions.
- Excellent drafting, negotiation, and client counseling skills.
- Ability to manage multiple matters independently while working collaboratively within a team.
Salary and Benefits
- $240,000 – $280,000 annually, commensurate with experience.
