What are the responsibilities and job description for the Associate Fund Attorney position at Ascendion?
We are working with a growing Boutique law firm, looking to bring on an Associate Fund Attorney to join their team. Specifically, they are looking for someone with 2 years of investment fund experience.
Requirements:
- 2 years of investment management, investment fund, fund formation, or other related transactional experience
- JD from an ABA-accredited law school and license to practice law
- Strong academic credentials and excellent analytical and writing skills
- A client service approach and exceptional communication skills
Responsibilities:
- Assist in the formation, structuring, and organization of private investment funds, including venture capital, private equity, hedge funds, and real estate funds.
- Advise clients on ongoing regulatory compliance matters under the Investment Advisers Act, the Investment Company Act, and other relevant federal and state securities laws.
- Draft, review, and negotiate fund structural documents, private placement memorandums (PPMs), limited partnership agreements (LPAs), subscription materials, and side letters.
- Serve as a trusted advisor to fund managers and institutional investors, providing practical legal solutions tailored to their business objectives.
The annual salary for this position is between 200k-300k. Factors which may affect pay within this range may include geography/market, skills, education, experience and other qualifications of the successful candidate.
