What are the responsibilities and job description for the Corporate Legal Counsel position at Aquila Health AI?
Aquila is a healthcare data company building the trusted data foundation to transform the healthcare ecosystem. We use AI to turn fragmented clinical data into standardized, user-ready formats for health information organizations, public health agencies, providers, and patients.
We’re looking for a Corporate Counsel to serve as a key legal partner to our business — owning transactional and corporate work across a fast-moving, regulated environment. This role reports to the General Counsel.
Responsibilities
• Draft, review, and negotiate commercial agreements including customer contracts, vendor and IT agreements, SaaS arrangements, NDAs, and data processing agreements
• Build and maintain contract templates, playbooks, and standard positions
• Support corporate governance, including board matters, entity records, and subsidiary management
• Advise on healthcare regulatory requirements, including HIPAA and applicable state health data laws
• Partner with Privacy and Compliance on data protection obligations
• Support employment-related legal matters in coordination with HR
• Assist with financing activities and corporate development transactions, including due diligence and documentation
• Manage outside counsel on discrete matters
• Advise cross-functional teams on legal risk in a practical, business-oriented way
Required Qualifications
• J.D. from an accredited law school; active bar admission in good standing
• 4–7 years of experience with a meaningful focus on business, corporate, or transactional law
• Strong commercial contracting experience — drafts and negotiates independently
• Solid grounding in corporate governance and entity management
• Excellent written and verbal communication skills, including the ability to communicate complex legal issues clearly to non-legal stakeholders.
• Organized and high-judgment, with the ability to manage competing priorities, and provide practical, risk-calibrated legal advice
Preferred Qualifications
• In-house experience at a technology, healthcare technology, or SaaS company
• Experience with healthcare regulatory frameworks (HIPAA, state health data laws)
• Familiarity with IT/SaaS vendor contracting, including security and data terms
• Exposure to privacy regulations (CCPA, GDPR, or state consumer privacy laws)
• Experience supporting financing rounds, M&A, or corporate development work
Compensation & Benefits
Salary Range: $120,000 - $160,000/year commensurate with experience
