Job Description
We are seeking a driven, ambitious and talented individual to join our Ansley Park Capital Documentation team as a Contracts Administrator, responsible for leading the documentation, closing and funding of commercial large-ticket structured equipment finance leasing and lending transactions for the direct, sponsor and capital markets business segments. This role sits at the core of the business and financing process, combining strong documentation and closing expertise with rigorous due diligence, process management and client service capabilities.
The ideal candidate will bring strong documentation technical skills, deep experience in equipment and commercial finance and the ability to operate in a fast-paced, dynamic business environment on sophisticated transactions involving multiple stakeholders, customized structures, and time-sensitive closing requirements. This role works closely on a cross-functional basis with all business segments and teams including originations, credit, asset management, legal and accounting/finance in ensuring all transactions are structured, documented, and executed with precision from approval through funding.
Key Responsibilities
- Lead the preparation, oversight and closing of equipment finance and commercial lending structuring and documentation, including but not limited to, lease and loan agreements, security and pledge agreements, guaranties, assignments, specifications and other documents for complex, multi-party commercial transactions, ensuring all credit, legal and business approvals and transaction structures are documented as required.
- Analyze, validate and ensure compliance for all equipment and collateral perfection, credit and legal requirements, including but not limited to, Uniform Commercial Code financing statements, lien searches, requisite lien documentation, amendments, certificates of title, fixture filings, mortgages, landlord waivers and collateral access agreements.
- Manage transactional due diligence processes for multiple transactions on a simultaneous basis with critical attention to detail and an ability to drive and exceed internal and external deadlines
- Validate and reconcile requisite financial information including invoices, proof of payment, lease and loan economics, transaction pricing, flow of funds and coordination with the accounting and finance teams on resolution of any payment or funding discrepancies.
- Manage and drive the closing and funding process to achieve exceptional satisfaction of all funding conditions, legal requirements and post-closing decisions
- Facilitate drafting and provision of contract amendments, transaction payoffs, and end-of-term requirements throughout the lifecycle of the financed transaction and equipment/collateral.
- Execute on all credit, legal and business requirements, policies and procedures to ensure transactions are properly structured and fully compliant prior to closing and funding including strong file management capabilities to ensure documents are organized and audit ready
- Provide exceptional internal and external customer service to clients, lending partners, vendors and management and business teams and facilitate cross functional collaboration with originations, credit, asset management, legal and finance teams
Qualifications
· Bachelor’s degree in business administration, finance, legal studies and/or paralegal certification
- 5 - 7 years of experience in documentation, closing and funding equipment finance and commercial lending transactions within a banking, lending and/or leasing business
- Strong understanding of commercial equipment finance lease and loan transaction documentation, Uniform Commercial Code, titling and collateral perfection requirements, corporate legal entity structures and closing/funding workflows
- Demonstrated ability to lead documentation processes and manage multiple transactions simultaneously in a fast-paced environment
- Excellent written and verbal communication skills, attention to detail and ability to work collaboratively with internal and external teams
Preferred Experience
- Knowledge of complex structured mid/large ticket commercial equipment finance and specialized assets
- Experience with documentation and closing of transactions in direct lending, capital markets and sponsor/private credit markets.
- Familiarity working with internal and external legal counsel and an ability to negotiate and draft complex lending documents, terms and conditions
