We provide excellent benefits and a friendly, team-focused work environment to drive employee engagement.General Counsel The General Counsel position is responsible for providing strategic legal counsel and advice to the CEO, Senior Management Team (SMT), and others to ensure sound governance, mitigate risk, and enable the enterprise’s growth and impact. The General Counsel sets and appropriately adjusts the legal strategy for the effective operation of the business. This role oversees all legal matters including but not limited to contracts, mergers and acquisitions, employment law, corporate governance, antitrust, intellectual property, and litigation. What You’ll Do:Serve as a trusted advisor to the SMT on organizational strategy and risk and compliance, anticipating legal issues and providing proactive, business-oriented solutions.Manage relationships with external counsel to ensure quality, cost effective legal services.Draft, review, and negotiate a wide variety of contracts, including vendor, partnership, and service agreements, developing and maintaining standard templates and policies, as well as ensuring terms protect The Institutes’ interests and comply with applicable laws.Participate in legal due diligence, negotiation, and documentation for mergers, acquisitions, partnerships, and joint ventures, advising on deal structure, regulatory compliance, and post transaction integration. Work closely with internal teams to assess risk and align transactions with organizational goals.Provide effective, responsive, and strategic legal advice and counsel to management and employees in the areas of intellectual property, antitrust, corporate governance, legal compliance, and other legal matters related to the enterprise.Partner with Human Resources department on employment related issues including performance issues, terminations, and compliance with federal, state, and local laws.Manage litigation on behalf of the organization and partner with outside counsel, when applicable.Identify and proactively mitigate any potential legal concerns when possible. The GC will be empowered to make and implement sounds decisions to protect the company from legal liability, in collaboration with the CEO.Assume additional responsibilities as assigned.What We’re Looking For:Juris Doctor (JD) degree required from an accredited law school.At least 10 years of progressive legal experience, preferably with experience in an in-house counsel role.Attorney in good standing with the PA bar.Not-for-profit experience preferredExcellent interpersonal skills.Key CompetenciesStrategic AcumenLegal Expertise and FocusCollaboration and Team OrientedEthics, Integrity, and JudgmentCommunication and Relationship ManagementLeadership and InfluenceVendor Management Special Working Conditions and Physical DemandsOccasional travel may be required.Non-traditional Institutes work hours may be required.Although not expected regularly, circumstances may exist which necessitate working during Off hours or being on-call as a regular part of the job.The Best Part?
