Role: Assistant General Counsel
As Ambient’s Assistant General Counsel, you will provide legal support across the organization, focusing on corporate governance, commercial contracting, compliance, litigation management, and M&A transactions. This role requires a strategic thinker with strong business acumen and the ability to manage complex legal matters in a fast-paced environment. This role will focus most on our subsidiaries and growth in the East and Midwest regions. You can be remote but should be available to work EST and/or CST hours.

Role: Assistant General Counsel
As Ambient’s Assistant General Counsel, you will provide legal support across the organization, focusing on corporate governance, commercial contracting, compliance, litigation management, and M&A transactions. This role requires a strategic thinker with strong business acumen and the ability to manage complex legal matters in a fast-paced environment. Responsibilities:
- Corporate Governance: Advise on board and shareholder matters, entity management, and corporate records.
- Commercial Contracts: Draft, review, and negotiate a wide range of agreements, including NDAs, master sales agreements, and vendor contracts.
- Compliance: Ensure adherence to applicable laws and regulations, including employment, privacy, and data security requirements.
- Litigation Management: Oversee litigation and dispute resolution, manage outside counsel, and develop strategies to mitigate risk.
- Mergers & Acquisition Support: Assist with due diligence, transaction documents, and integration planning for acquisitions and divestitures.
- Policy Development: Contribute to internal policies, contract review processes, and compliance programs.
- Juris Doctor (JD) from an accredited law school; admission to a state bar in good standing.
- 5 years of legal experience, preferably in a corporate or large law firm setting.
- Strong knowledge of corporate law, commercial transactions, and regulatory compliance.
- Excellent negotiation, drafting, and communication skills.
- Ability to manage multiple priorities and work collaboratively with business leaders.
- Experience in M&A transactions and integration preferred.
- Familiarity with employment law and intellectual property matters a plus
- Comfort with technology-driven contract management tools a plus.

Salary : $200,000 - $240,000
