A premier global law firm is seeking a Private Equity & Mergers & Acquisitions Associate Attorney to join its Denver office.

This opportunity is ideal for an attorney interested in representing private equity sponsors, portfolio companies, strategic buyers and sellers, and other sophisticated clients in complex domestic and cross-border transactions.

Ideal Background

• 3–6 years of private equity, mergers & acquisitions, or corporate transactional experience gained at a sophisticated law firm

• Experience representing private equity sponsors, portfolio companies, public companies, and privately held businesses in sophisticated transactions

• Experience handling acquisitions, dispositions, leveraged buyouts, recapitalizations, growth equity investments, and other strategic transactions

• Experience drafting and negotiating purchase agreements, merger agreements, equity investment documents, disclosure schedules, and related transaction documentation

• Experience conducting and managing legal due diligence and coordinating transaction workstreams

• Experience advising clients regarding general corporate governance matters, entity formation, and ongoing corporate matters

• Experience with cross-border transactions is preferred

• Strong drafting, negotiation, analytical, organizational, and communication skills

• Ability to manage sophisticated transactions while working directly with clients and opposing counsel

• Excellent academic credentials

• J.D. from an ABA-accredited law school required

• Colorado bar admission required or ability to become admitted
