GENERAL COUNSEL (1099 CONTRACTOR)

The General Counsel Contractor serves as AFI's primary legal advisor and strategic legal partner. This position is responsible for overseeing legal matters impacting the organization, including real estate transactions, litigation management, corporate governance, regulatory compliance, contract review, employment-related legal matters, and risk mitigation. The ideal candidate will provide practical legal guidance that supports the company's continued growth while protecting AFI's interests across multiple jurisdictions.

This is a 1099 independent contractor position and is not a W-2 employment opportunity. Nothing in this posting should be construed as creating an employment relationship, guaranteed hours, or a full-time position.

JOB DUTIES

• Develop and implement legal strategies that align with AFI's operational and growth objectives.
• Advise company leadership on legal risks, compliance requirements, and strategic business initiatives.
• Ensure compliance with applicable federal, state, and local laws affecting multifamily housing operations.
• Identify, assess, and mitigate legal risks related to acquisitions, financing, property management, employment matters, and business operations.
• Review, draft, negotiate, and revise contracts, agreements, leases, management agreements, vendor contracts, and other legal documents.
• Provide legal support for acquisitions, dispositions, financing transactions, due diligence reviews, and ownership restructurings.
• Oversee litigation, claims, disputes, and administrative proceedings while coordinating with outside counsel when appropriate.
• Advise on Fair Housing, landlord-tenant matters, property operations, employment law issues, and regulatory compliance matters.
• Monitor changes in laws and regulations that may impact the organization and recommend appropriate actions.
• Assist with corporate governance matters, including entity management, corporate records, and compliance documentation.
• Develop and update company policies, procedures, and risk-management protocols.
• Conduct training and educational sessions for company leadership and staff on legal and compliance topics.
• Collaborate with executive leadership and department heads to support business objectives while maintaining legal and ethical standards.

QUALIFICATIONS

• Juris Doctor (J.D.) degree from an accredited law school.
• Active license to practice law in at least one U.S. jurisdiction and in good standing.
• Minimum of 10 years of legal experience, including significant experience in real estate law, multifamily housing, commercial transactions, or related practice areas.
• Demonstrated experience advising business leaders on complex legal and operational issues.
• Strong knowledge of real estate acquisitions, financing, property management operations, leasing, Fair Housing, and compliance matters.
• Experience managing litigation and coordinating outside counsel.
• Ability to balance legal risk with practical business objectives.
• Excellent written, verbal, negotiation, and interpersonal communication skills.
• Strong analytical, organizational, and problem-solving abilities.
• Ability to maintain strict confidentiality and exercise sound professional judgment.
• Must provide two to three professional references.
