Role Description
This position is transactions only for overflow work. The firm currently has signficant need based on growth in the area of small maket business transactions. The main office is located in Middletown, CT. However, for the right candidate, this position has work-from-home capability and flexibility on hours. This position will be responsible for (1) review of transaciton documents, identify gaps and risks in M&A documents, redlining of patches and recommendations to clients, providing legal advice on risks (2) drafting of corporate structure and governance documents such as shareholder and member agreements, buy-sell agreements, equity purcahse agreements; and (3) general business contracts including master services agreements, subsription agreements, and general terms and conditions. The role may involve client interaction.
Qualifications
- 3 plus years legal expertise and training in contracts and transactions, with emphasis on M&A
- Demonstrated proficiency in complex transaction terminology and drafting
- Prior experience or training with AI or technology assisted review is a plus
- Ability to work both independently and collaboratively
- Previous training and experience in a mid-sized or large law firm is a plus
