What are the responsibilities and job description for the Mid-Level Technology M&A Associate position at Advocates Legal Recruiting?
Midlevel Technology M&A Associate | AmLaw 100 | San Francisco
Our AmLaw 20 client is building out its Technology Companies M&A team in San Francisco and is looking for a sharp midlevel associate who wants to live at the center of the tech and venture ecosystem. The firm is consistently ranked among the top corporate and M&A practices in California and nationwide, with particular strength in technology, life sciences, and emerging companies work.
This is a chance to join a market leader in technology M&A that sits on high-volume, high-value deals for both investors and companies, from early-stage exits to public company transactions.
Role Summary
As a Technology Companies M&A Associate in this group, you will:
• Run significant workstreams on private and public M&A deals for early and late-stage technology companies, as well as leading venture capital and growth investors.
• Draft and negotiate core transaction documents, including purchase agreements, ancillary M&A documentation, and related equity and governance materials.
• Coordinate due diligence and oversee junior team members across corporate, IP, data privacy, and employment workstreams.
• Work directly with in-house counsel, founders, C-suite executives, and investor-side deal teams.
• Help drive deals from first draft through closing, managing timelines, issues lists, and communications across internal and external teams.
Candidate Profile
The right associate will likely bring:
• 3–6 years of M&A experience at a nationally recognized law firm, with a clear focus on technology or emerging growth companies.
• Hands-on experience managing components of M&A transactions, not just supporting in the background.
• Exposure to transactions involving venture-backed companies and/or venture capital investors, ideally across both early and later-stage deals.
• Strong commercial instincts and comfort talking through structure, risk, and tradeoffs directly with clients.
• Excellent drafting, written, and verbal communication skills.
• California bar admission, or concrete ability to obtain it promptly.
Why This Role
This is not a “just another M&A seat” opportunity. Key differentiators:
• True tech and venture focus
The practice is deeply embedded in the technology ecosystem, regularly advising emerging and established tech companies, as well as venture and growth investors, across the full lifecycle from seed to exit.
• Top-tier deal flow and platform
The firm has been recognized as a leading player in global M&A, including being named Outstanding M&A Law Firm of the Year by the Atlas Awards and posting record revenues driven by its M&A and litigation practices.
Recent league tables show the firm at or near the top by global M&A deal count, giving associates consistent exposure to sophisticated transactions rather than sporadic “one-off” deals.
• Training that goes beyond on-the-job learning
Associates benefit from structured programs that combine intensive transactional training, live simulations, and feedback-focused development, designed to get you deal-ready quickly and keep you sharp as you progress toward senior associate and counsel levels.
• Cross-office, cross-border collaboration
You will work regularly with colleagues across the firm’s national and international offices on cross-border technology and M&A transactions, gaining visibility into different markets and deal structures.
• A Real path forward
The group is busy, growing, and highly visible within the firm. Midlevel associates who show initiative, ownership, and sound judgment can expect increasing client contact, leadership of deal teams, and a credible runway toward senior roles.
