Mid-Level/Senior ECVC Associate

• Serve as trusted counsel to startups and emerging growth companies from incorporation through exit, as well as to venture and growth equity funds that invest in them.
  

• Lead and support venture financings, SAFE and convertible rounds, preferred equity deals, and secondary transactions.
  

• Advise founders and boards on corporate governance, cap table issues, and strategic transactions, including acquisitions and portfolio company exits.
  

• Work on matters that touch AI, Web3, blockchain, crypto, metaverse, and other frontier technologies, often with cross-practice input from the firm’s nationally ranked fintech, technology, and digital assets teams.
  

• Operate as part of an integrated ECVC platform with partners and associates across the West Coast and New York handling thousands of financings from pre-seed through growth stages.
  

• At least 4 years of ECVC, startup, or venture-side experience from a peer AmLaw platform or highly regarded boutique.
  

• Significant experience running or heavily staffing venture financings and other private company transactions, including drafting and negotiating core deal documents.
  

• Familiarity with or interest in regulatory and strategic issues around AI, Web3, blockchain, crypto, metaverse, and other next-generation technologies.
  

• Strong writing, judgment, and client-handling skills, with the ability to manage concurrent workstreams for sophisticated founders, boards, and investors.
  

• Bar admission: California for SF / Silicon Valley / LA and New York for NYC, or a clear path to admission.
