Mergers and Acquisitions Tax Manager

OPPORTUNITY

We are seeking a highly motivated and experienced M&A Tax Manager to join our growing transaction tax advisory team. This role is ideal for a strategic thinker with deep expertise in transaction tax matters who thrives in a fast-paced, client-focused environment. You will play a key role in advising clients on the tax implications of mergers, acquisitions, divestitures, and other complex transaction-related tax matters, including legal entity rationalizations, tax attribute planning (e.g., section 382), and other similar matters.

SCOPE OF WORK

• Lead and manage tax due diligence, structuring, and modeling for M&A transactions.
• Advise clients on tax-efficient deal structures and post-transaction integration strategies.
• Collaborate with cross-functional teams including legal, finance, and corporate development.
• Read and analyze purchase agreements and other transaction documents for tax implications.
• Monitor and interpret changes in tax legislation and their impact on transactions.
• Advise clients on general tax structuring / restructuring strategies to optimize transaction or business outcomes.
• Mentor and develop staff, providing guidance and technical expertise.
• Build and maintain strong client relationships and contribute to business development efforts.

IDEAL CANDIDATE PROFILE

• Bachelor’s or Master’s degree in Accounting, Finance, or related field; CPA or JD preferred.
• 3-5 years of experience in M&A tax, preferably in a public accounting or consulting firm.
• Leadership and team-building capabilities
• Strong technical knowledge of federal, state, and international tax issues related to transactions.
• Experience with tax attribute planning (section 382), legal entity restructuring, and other similar transaction tax-related matters.
• Experience with private equity and strategic buyers.
• Familiarity with tax diligence reporting and documentation.
• Excellent analytical, communication, and project management skills.
• Ability to manage multiple engagements and work effectively under pressure.
