JOB SUMMARY:
Drafts, reviews, negotiates, and finalizes agreements on behalf of the organization, under occasional guidance. Tracks new agreements, conducts continuing review of existing agreements, and maintains the integrity of the contract tracking database.

DEPARTMENT SUMMARY:

The Office of Contracts Management (OCM) is a division of the Vanderbilt University Medical Center (VUMC), Office of Research. We serve as the central Medical Center office for contract intake, processing, negotiation and management. OCM reviews both research and non-research contracts. Research agreements include bench research, clinical trials, federal contracts and federal subcontracts. Non-research agreements include professional services, educational and affiliation agreements.

Our goal is to support the VUMC community in efforts to fulfill the research, education, and patient care missions of the institution. To this end, we are committed to providing information, tools and services including, but not limited to policy interpretation, compliance assurance and contract management.

The OCM Staff is comprised of professionals committed to the best possible customer service. We strive to develop positive, enduring relationships with our internal customers, external funding entities, and our partners across the region, country and world.

KEY RESPONSIBILITIES:

  • Drafts, negotiates, and finalizes complex agreements funded by industry sponsors, academic institutions, and other non-federal sponsors or funding entities.
  • Reviews incoming contract packages for completeness and availability of necessary information. Solicits additional information from customers.
  • Creatively solves problems by analyzing and interpreting law and policies as well as information from other sources.
  • Collaborates with and disseminates information to research leadership and staff to ensure that contractual terms accurately reflect the likelihood of intellectual property and publication, evaluate risks involving indemnification and subject injury, compliance with HIPAA and other human subjects protections, and evaluate the effect of possible restrictions created by contract terms.
  • Analyzes budgets and payment schedules for compliance in order to ensure timeliness and maintain project expectations.
  • Implements quality assurance and contracting strategies to achieve goals and assure compliance with all applicable requirements. Recommends changes to policies, procedures, or resources to support new strategy.
  • Performs oversight and verification of database entries.
  • Provides training and acts as a consultant to staff and faculty in the organization.

Interprets regulations and guidance to assist application and business stakeholders with compliance and security best practice efforts.
