SUMMARY DESCRIPTION The foundation’s Office of Legal Services is hiring an Associate General Counsel (AGC) to provide legal representation related to its impact investing work and a range of other program, operations, regional office, and investment-related matters. Reporting to the Assistant Secretary & Deputy General Counsel and working closely with the Senior Investment Counsel and other Senior Counsel, the AGC will provide legal advice on the foundation’s endowment investments and impact investments (including mission-related and program-related investments); global operations; general corporate and commercial transactions and contracts; compliance with private foundation tax laws and regulations; and securities, custody, ESG/SRI, and investment-related tax matters. In addition, the AGC will advise staff with respect to domestic and international grantmaking and foundation policies, and will provide legal support as needed on human resources, intellectual property, real estate, and finance-related matters, as well as special projects. The position involves direct contact with program staff, senior management, overseas staff, investment managers, and other parties. The AGC will also supervise outside counsel. RESPONSIBILITIES Reviews, negotiates, and advises on legal documents and issues pertaining to the endowment’s investments and mission-related investments, primarily privately offered venture capital, private equity, real estate, and hedge funds, but also co-investments, seed financings, secondary sales, and direct acquisitions of private company stock. Participates in or oversees negotiation of, and prepares or reviews necessary documentation for, program-related investments and modifications of existing program-related investments. Prepares routine legal opinions on charitability and other private foundation tax matters for program-related investments. Advises on legal matters relating to domestic and international investment operations. Advises program staff globally as requested on legal issues relating to grants, including compliance with private foundation tax rules, foundation policies, and OFAC sanctions. Advises staff as requested on interpretation of foundation policies and procedures. Support the legal needs of the contract management function, including negotiating and reviewing contracts with administrative and programmatic consultants and vendors. Assists Senior Counsel, Deputy General Counsel, and General Counsel as needed on intellectual property matters, employment law and benefits issues, information technology and privacy matters, immigration and visa issues, and other projects. Advises, prepares, and coordinates with outside counsel and other service providers with respect to registration and compliance-related filings in overseas jurisdictions. Assists with preparing board and committee meeting materials. Supervises outside counsel on various matters. QUALIFICATIONS JD, New York license, and a minimum of 3 years of experience with investment, transactional, or corporate tax matters. Experience at a foundation, non-profit organization, endowment, institutional investor, family office, or investment adviser, or representing one or more of those entities at a law firm, is preferred. Familiarity with securities laws, the Advisers Act, tax-exempt organizations and private foundation tax issues, and ESG concepts is preferred. Significant experience that demonstrates maturity, outstanding judgment and discretion handling highly confidential information. Ability to interface with tact and diplomacy at all levels of the foundation and with outside individuals/firms. Excellent communications skills and interpersonal skills. The ability to work in diverse teams with shared responsibility and accountability. PHYSICAL REQUIREMENTS This position is primarily a sedentary role. However, the person in this position may need to occasionally move about inside the office to liaise with internal staff, access files, office machinery and a copy machine/printer.
