Redesign Health is Hiring a Remote Senior Stock Plan Administrator

About the Job: As our Senior Stock Plan Administrator Lead, you will be the internal subject matter expert on all things equity administration and you will design, execute and optimize the end-to-end equity administration process for both Redesign Health and its early stage operating companies. You will report to and work with our Employment Counsel Lead. 

What you’ll do

  • Own Equity Administration for Redesign Health and it’s Operating Companies
    • For Redesign Health, process all new equity awards, option exercises, terminations, cancellations, repurchases and modifications for Redesign Health
    • For operating companies, process equity awards, including board resolutions, filing certificates of amendment increasing share reserves, populating grant documentation, sending grants out for signature, and tracking 83(b) elections
    • Provide monthly, quarterly and custom reports on equity activity, including share availability for awards, projection for option pool needs and ad hoc analysis based on other complex equity transactions 
    • Manage securities law obligations, including rule 701 tracking and making applicable blue sky filings
    • Support migration of operating company cap tables into Carta, working with company law firms and internal Legal and FP&A teams to ensure completion and accuracy.
    • Lead efforts to grow and scale the equity administration function, including enhancing existing manual processes and evaluating external vendors and service providers
  • Partner with Cross Functional teams within Redesign Health and it’s Operating Companies to drive strategy and support initiatives
    • Provide strategic advice to Redesign and early stage operating companies on strategic equity administration decisions, including tax and compliance
    • Partner with Strategy & Finance to manage the 409A process for Redesign and its operating companies, provide audit support for all equity transactions and stock-based compensation calculations, ensure internal controls and procedures are operating efficiently, audit Redesign Health and operating company cap tables on a regular basis, prepare annual reporting forms required by the IRS (e.g., Form 3921)
    • Partner with People Experience to develop comprehensive employee communications strategies around equity

What you’ll need

  • You hold a Bachelor’s Degree 
  • You have 6 years of experience working in a similar function at a Big 4, management consulting firm, venture capital firm, private equity firm, financial services institution, or fast-growing startup

What you’ll bring to the table

  • You have experience working with various forms of equity awards at private companies, including restricted stock, incentive stock options, nonqualified stock options and restricted stock units
  • You have experience managing complex cap tables (including common and preferred equity, SAFEs, convertible notes, options and warrants) that require thinking outside the box 
  • You have experience administering equity agreements, legal filings, and familiarity with the 409A process
  • You have working knowledge of Carta or other cap table management software

Additional Information

Full-time base salary range of $114,000-152,000 plus a competitive equity & benefits package listed under the "Why work with us?" section.
