QHR Health is looking for a General Counsel to work directly with QHR Health’s wide range of legal needs, relative to our healthcare mission. The role will focus on healthcare transactional work to support the company's dynamic growth efforts and will also be exposed to an array of legal fields, including compliance, employment, real estate and litigation. Successful candidates will have a demonstrated ability to review and draft agreements efficiently. This role presents an opportunity for personalized instruction from an experienced attorney within a collaborative team atmosphere, during an exciting phase of company growth. Candidates must be eager to tackle problems and tasks, both big and small, have exceptional attention to detail and be self-starters with the ability to adapt and thrive in a fast-changing growth environment. The General Counsel will work in QHR Health’s Brentwood, TN office with the option for hybrid remote work. What You’ll Do Manage the full cycle legal process of a high-volume transactions including: Collaborate and partner with business development team to project manage deals Review and manage due diligence materials Draft purchase agreement, employment agreements and various related transaction documents Negotiating deal documents with opposing counsel Liaise with operations, real estate, HR and finance teams to ensure smooth business/practice integration Coordinate closing logistics Contract preparation and review including, but not limited to real estate leases, employment agreements, business associate agreements, nondisclosure agreements, medical equipment and other vendor leases and purchase agreements Draft and negotiate employment agreements Advise on/draft potential and existing policies and guidelines Assist with healthcare regulatory research and compliance trainings Oversee contract tracking and management (real estate leases, employment agreements, vendor contracts, etc.) and inventories of litigation and compliance matters Coordinate state entity filings and various other corporate governance matters Align the legal department's efforts with strategic mission of business team Manage/reduce outside legal spend Qualifications of the role Juris Doctor degree and license to practice law in Tennessee 3-5 years experience in a law firm Healthcare acquisition experience Healthcare experience revenue cycle management, group purchasing, care transformation, healthcare staffing and consulting and corporate practice group setting highly preferred Demonstrated success prioritizing and meeting time-sensitive deadlines Excellent interpersonal skills and the ability to maturely interact across a broad spectrum of people, including multiple levels of management Ability to be strategic but also hands on as needed Exposure to high-growth, early-stage startups is a plus About You Entrepreneurial: you crave responsibility and want to shape the vision and direction of the company Self-starter: you have a bias towards action, flexibility and thrive in a fast-paced and evolving work environment Problem solver: you have a talent for synthesizing complex projects, can independently translate high-level goals into actionable plans, and enjoy implementing process Determined: you demonstrate servant leadership and roll up your sleeves and do whatever it takes to make things successful; you are persistent in overcoming obstacles and take calculated risk to overcome them Naturally curious: you always look for ways to innovate and improve Motivation: you seek to improve processes, products and services; demonstrate accuracy and thoroughness and set challenging goals Planning/Organizing: You are good at prioritizing a high volume of demanding tasks and goals and use your time and resources efficiently to set and achieve your goals and those on your
