Paper is Hiring a Remote Corporate Attorney

Reporting to the Senior Director of Legal Affairs, the Corporate Attorney will guide the company in its corporate work and provide legal advice regarding the associated risks. The ideal candidate will have experience in both the US and Canadian corporate landscape and can manage all aspects of corporate affairs, assess and clearly communicate associated risks, understand how these risks tie into the general business, find business appropriate solutions and play an active role in mitigating said risks and negotiating with legal or business counterparts.

This position can be located in any geography in the US or Canada.

Responsibilities

  • Interact with and support various groups across the company, with a primary focus on corporate governance, transactions and equity management.
  • Ensuring proper maintenance of corporate records for both Canadian and US companies.
  • Provide counsel on corporate governance matters and support Board of Directors and Committees, including preparation for Board and Committee meetings, preparing, managing and implementing corporate governance and related policies and preparing, managing and implementing corporate policies, including drafting resolutions and board minutes. 
  • Development and management of compliance and process controls and instruments for commercial and governance functions. 
  • Alongside other team members, managing all aspects of corporate transactions. 
  • Support the company’s equity management function, including advising on and monitoring equity plans and stock based compensation in both Canada and the US from a governance and regulatory perspective.
  • Provide company training on equity management matters. 
  • Building and operationalizing a corporate governance framework, including monitoring governance trends and securities regulation issues and best practices in Canada and the US.
  • Overseeing and ensuring compliance with securities regulation, including advising on and preparing required filings and exemptions. 
  • Provide support as needed on other corporate-commercial projects and agreements, including transaction structuring, management and support, and commercial process development.
  • Drafting and negotiating a wide variety of agreements, including SaaS contracts, service agreements, vendor agreements.
  • Engage strategically in developing innovative approaches to legal issues in support of business objectives.
  • Develop templates and other legal instruments to streamline the corporation’s activities and processes.
  • Support other functions including compliance (including lobbying), intellectual property, privacy, cybersecurity and labor law issues, as needed.
  • Collaborate cross-functionally with other departments including sales, marketing, product, finance and HR.
  • Consulting with management, commercial advisors, tax experts, accountants.
  • Provide strategic legal advice on a broad range of topics.
  • Uphold and embody Paper’s mission, vision, and values.
  • Contribute to Paper’s first ever in house legal department.

Qualifications:

  • The candidate must have a J.D. from an ABA-approved law school and be an active member in good standing of a US Bar.
  • Have 5 years of relevant corporate/commercial experience with both private and public companies, including substantial transactional experience and securities regulation experience.
  • Significant corporate governance experience including board and investor relations, minute book upkeep, ensuring cleanliness of corporate records.
  • Transactional, financing and mergers and acquisitions experience, including experience drafting and negotiating transaction documents and overseeing due diligence transactions.
  • Strong drafting and negotiation skills with a focus on information technology and corporate/commercial law.
  • Ability to strike a sensible and practical balance between legal risks and the need to do business.
  • Adept at working in a fast-paced, high activity environment with strong ability to provide a clear point of view and to listen. 
  • Ability to handle ambiguity, juggle many matters at once and quickly shift from one situation or task to another. 
  • Solution oriented, talent for thinking outside of the box in confronting new issues and pursuing novel approaches to old problems. 
  • Experience working with high-growth technology companies. 
  • Exceptionally organized, detail-oriented and efficient.
  • A team-player mindset with the ability to work collaboratively across various functions and with colleagues at all levels.
  • Team attitude that no job is too big or too small. Thrives in an environment where you need to roll-up your sleeves and own outcomes. 

Nice to have : 

  • Who have combined US and Canadian corporate law experience.
  • Who are members in good standing of the California Bar.
  • With experience in the areas of education technology, working with US government funding, or in the startup ecosystem will be considered an asset.
  • With combined experience both in house within a rapid growth company and at a national or international law firm.
  • With experience working with public and late stage private companies.
