NANOTRONICS IMAGING INC is Hiring a Staff Attorney Near Brooklyn, NY

Description

The Nanotronics Staff Attorney is a smart and passionate transactional attorney who will providing quality, accurate and relevant advice on a whole spectrum of legal matters that apply to Nanotronics’ products and business operations, as it works to build the world's most technologically advanced inspection and factory control solutions. The Staff Attorney also plays a managerial role, overseeing work that's been outsourced to attorneys at independent firms.

Nanotronics is making manufacturing fast, accurate and cost-efficient by combining super-resolution microscopy with robotics and artificial intelligence. Our products are industry-agnostic and used within aerospace, electronics, semiconductor, and biotech applications. Any industry that can benefit from increased yield, efficiency, lower costs, and faster design iteration is an industry that can benefit from using Nanotronics' technology. The solutions we build push the envelope of what can be done, so we need team members who are meticulous, hardworking, and creative. The ideal candidate will be a self-starter, who work well with in fast-paced, ever-evolving environment.

All applicants must be U.S. persons as defined in the U.S. export control laws and regulations to include: U.S. citizen, national, lawful permanent resident or individual admitted to the U.S. as a refugee or granted asylum.

This position might be eligible for city and state tax exemption under the START-UP NY program.

Requirements

Responsibilities

  • Provide accurate, relevant, and timely advice on a variety of legal topics that relate to Nanotronics’ products and business operations, including but not limited to corporate securities, tax, real estate, government contracts, ethics, privacy, and intellectual property as well as the standard contracts and employment law issues
  • Draft, review, and negotiate various commercial contracts and agreements 
  • Advise departments on legal considerations and risk mitigation strategies in connection with review of contracts and agreements
  • Manage and mitigate legal risks by consulting on company policies and procedures and legal training
  • Ensure compliance with all laws and regulations that apply to the business
  • Promote legal, compliance and risk management best practices throughout the company
  • Communicate with and manage external counsel 
  • Stay up-to-date with changes to legislation, particularly in relation to laws, rules and regulations that directly affect Nanotronics’ products and business operations
  • Liaise with senior members of staff
  • Serve as a trusted advisor in areas that may extend beyond a strictly legal role
  • Investor onboarding process, including review of investor documents and subscription materials and coordinating with investors, bankers, and outside counsel 
  • Transfers of LP interests process, including drafting and negotiating of transfer documents
  • Corporate entity formation process, including drafting formation documents and working with foreign local counsel
  • Assist in corporate due diligence for M&A 
  • Occasionally travel for due diligence, interfacing with foreign counsel, etc.

Knowledge, Skills and Abilities

  • Sound understanding and knowledge of commercial and corporate law
  • Strong communication and presentation skills
  • Excellent negotiating and drafting skills
  • Ability to build and maintain strong professional relationships across the business
  • Ability to communicate complex legal issues and risks in terms that non-legal colleagues can understand
  • Ability to work in a highly autonomous role
  • Familiar with SOX compliance 
  • Familiar with Blue Sky compliance process, including maintaining master list of advice received from local counsel
  • Familiar with Form D process, including preparing initial Form D for new fundraises and annual amendments and coordinating state filings

Education and Experience

  • Juris Doctor degree
  • New York State Bar admission
  • 3-5 years’ experience as a commercial lawyer working in-house or in a leading firm
  • Experience with a growth stage company and various types of private financing
  • Experience in tech, cybersecurity, or manufacturing industries preferred 
  • Legal experience working on licensing matters a plus, but not required

Work Environment

This position is based in the Brooklyn office. There is no remote work option.
