Marquee Brands is seeking a strategic General Counsel to manage all legal matters across a diverse portfolio of consumer brands.

Responsibilities:

• Negotiate and draft intellectual property and complex commercial agreements including license, partnership, vendor, marketing, and non-disclosure agreements as well as uniquely-solutioned agreements premised on business needs. Provide support to our internal teams on contract interpretation.
• Communicate and collaborate with all business stakeholders across the brand portfolio to understand business objectives and provide legal advice, with an emphasis on intellectual property and risk management.
• Partner with the business development and brand teams for licensing and/or partnership-related matters.
• Assist with mergers and acquisitions, investments, and other strategic transactions in all stages, from performing due diligence, drafting and negotiating term sheets and definitive transaction documentation, and supporting closing transactions and post-closing integration
• Advise the board and internal stakeholders, including senior leadership, on approaches to negotiation and settlements.

Requirements:

• Juris Doctor degree from an accredited law school.
• Bar membership in good standing in the state of New York.
• Minimum of 8 years of experience, with at least 3 years of experience managing a team. In-house experience is preferred.
• Experience with intellectual property, licensing, mergers & acquisitions, data security/privacy, and digital/direct-to-consumer sales is preferred.
• High degree of personal accountability.
• Strong organizational and time management skills. Must be able to balance numerous tasks and projects at the same time.
• Strong business acumen and experience dealing with various business stakeholders.
• Successful track record of taking initiative and problem-solving.
• Excellent written and verbal communication skills.
• Excellent interpersonal skills.
• Must have the ability to work proactively, independently and reliably under tight timeframes in a fast-paced environment.
