Job Description Summary

The General Counsel is responsible for supporting the Company in navigating the ever-changing legal landscape. It is a highly professional role with a great degree of responsibility in guiding business leaders around risk. This role will help to balance the number of legal inquiries that come in through business owners and support the Company in advising the Board of Directors (BOD) and leadership team. The General Counsel reports to the Chief Financial Officer.

The duties and responsibilities of the position will consist of, but are not limited to, the following:

  • Supports all business units and all divisions of the Company in US, Canada and Taiwan from the legal perspective
    • Commercial Law: Contract negotiation, drafting, review; recommending solutions and mitigating risk
    • Corporate Law: Corporate structuring, governance, navigation of tax issues, transactional document review
    • Real Estate Law: Lease drafting, review; landlord disputes; easements; zoning; use restrictions
    • Employment Law: Management of sensitive legal issues such as employee relations issues
    • Litigation: Management of litigation in collaboration with business personnel on strategy
    • IP Law: Non-disclosure agreements; licensing agreements; consultation of IP, IT, marketing & promotions legal issues
    • Regulatory: Researching new regs affecting the business in all areas; conveying them to the business; developing compliance programs surrounding the reg in cooperation with the business owners (i.e. EEOC, DOT, etc.)
    • Import/Exports/Customs: Experience working with brokers, tax and duties issues, transfer pricing
  • General provision of legal advice to business and operational employees of the Company
  • Support in providing legal advice to BOD, leadership team, business, and operational employees
  • Other duties as assigned

Requirements:

  • Work Experience: 3 years of post-licensure legal experience in 2 or more of the substantive areas described above, experience working as an in-house lawyer
  • Education: Juris Doctor of Law degree
  • Certification or License: Admission to State Bar of Michigan/License to Practice Law
  • Computer Skills: Basic understanding of Microsoft Office, Word, Excel, Powerpoint
  • Organizational Skills: Organized thought process and the ability to handle multiple priorities efficiently and effectively
  • Communication Skills: Excellent written and verbal skills; strong interpersonal skills; ability to deal with sensitive and confidential information; advanced presentation skills; strong project management skills
  • Physical, Mental and Visual Skills: The physical demands described here are representative of those that must be met by an employee to successfully perform the essential functions of this job. While performing the duties of this job, the employee is regularly required to sit, stand, talk, hear and use fingers and hands
  • Physical Environment: Normal office environment; manufacturing and warehouse environment and exposure to moving equipment 

Preferred Requirements:

  • Work Experience: 5 years of post-licensure legal experience in 2 or more of the substantive areas described above, experience working as an in-house lawyer
  • Computer Skills: Intermediate skills with Excel, Word and PowerPoint
