Overview

The role of Contracts Paralegal is to support the Legal Department in the review and negotiation of legal terms in a broad range of corporate contracts in collaboration with paralegals and attorneys in the Legal Department. This role will be responsible for working within a contracts management database and for maintaining documentation of the negotiations and associated versions within the contracts management database and repository.

This role can be remote with the availability to attend in-person with purpose company or Legal Department meetings as needed.

Responsibilities

Additional representative responsibilities will include, but not necessarily be limited to, the following: 

  • Prepare various standard contracts for internal business clients, as required, including but not limited to CDAs, Consulting Agreements, Master Services Agreements, Statements of Work, and Amendments.
  • Prepare redline review and negotiation of legal terms in a broad range of corporate contracts (aligned with Insmed’s policies).
  • Maintain documentation of negotiations and versions of the contracts within the contracts management database.
  • Communicate to professionally and effectively with relevant internal stakeholders and Procurement on contract progress and to reinforce process and workflow.
  • Work collaboratively with paralegals and attorneys in the Legal Department and with Procurement colleagues involved in contract negotiations.
  • Ensure that contracts are thoroughly reviewed for legal, compliance, risk management provisions and payment terms alignment prior to submitting for internal approvals.
  • Manage contract requests and processes to ensure efficient and effective business productivity.
  • Provide excellent internal client services.
  • Compliance program adherence and reinforcement with internal clients.
  • Work effectively and efficiently within contract management database
  • Maintain accurate contract repository within contract management database.
  • Consistently follow process for documentation of contract progress and filing of supporting versions.
  • Other misc. projects as needed or requested by Legal team members.

Qualifications

  • Bachelor’s Degree, Paralegal Certificate, or Legal Secretary preferred with 5 years minimum of relevant work experience
    • Corporate Office experience supporting Legal Department
    • Pharma/Biotech or other fast paced environment preferred
  • Knowledge, understanding of commercial contracts (CDAs, Consulting Agreements, Master Services Agreements, Statements of Work, and Amendments)
  • Proven drafting, proofreading, and redlining experience
  • Excellent oral and written communication skills
  • Excellent organizational and interpersonal skills
  • Proficient in Word and Adobe
  • Familiar with Excel, DocuSign, PowerPoint
  • Ability to communicate effectively and partner with a variety of business functions at all levels
  • Ability to work effectively and independently under tight deadlines, high volume; prioritizing appropriately.

Travel Requirements

This role can be remote with the availability to attend in person with a purpose company or Legal Department meetings as needed. No additional travel required.
