HIMSS is Hiring a Remote Senior Counsel

The Senior Counsel will have responsibility for a wide variety of critical functions in the legal department, with the opportunity for growth and the ability to take ownership of and learn about a wide variety of legal matters. Reporting to the Associate General Counsel, this person will serve a vital role to the organization in supporting the diverse legal needs of a global organization with a small in-house legal department. The primary day-to-day functions of this role will focus on drafting, negotiating, reviewing, and managing a broad variety of contracts and legal documents. You will also regularly assist internal stakeholders with a wide variety of other legal matters that arise - the person will be expected to assist with compliance, corporate governance, intellectual property, employment/HR, and other legal matters, as well as strategic planning and general risk management. In addition to being the primary owner of the contracting process for the organization, there is ample opportunity for this role to grow and take ownership of other legal areas within the organization and be responsible for process improvement and management of those areas.

What you will tackle:

  • Draft, review, revise, negotiate, and finalize a broad variety of contracts and transactional documents, including service agreements for various business units, vendor and customer agreements, supporting transactional documents, correspondence, and other legal documents;
  • Provide time-sensitive, practical, business-oriented legal and contracting advice to internal stakeholders;
  • Own contract management functions for customer agreements across business units, including organizing, tracking, and timely updating contracts, addenda, and supporting documentation;
  • Draft, revise, and streamline contract templates for customer-facing agreements across business units, and conduct related trainings for business and sales teams when needed;
  • Support the Legal Team and other business leaders, as needed, with review, analysis, strategic planning, and special projects;
  • Monitor, research and analyze existing law and changes in laws and/or statutes and regulations to evaluate and assess impact and assist in developing necessary policies, processes, or product adaptions;
  • Identify opportunities for improvement in risk, compliance, or other related areas; and
  • After getting established in the role, take ownership of a variety of legal needs across the organization.

What you will need to be successful:

  • Have a proven track record of providing pragmatic legal advice that balances risk, business needs, and internal/external pressures
  • Skilled at redlining and negotiating contracts in a manner that enhances the customer relationship and contributes to overall positive employee and customer experience
  • Adept at helping the business find creative solutions and efficiently get to “yes”
  • Skilled at adapting your advice and approach to each individual scenario, with ability to pivot rapidly between matters involving different business units and products and quickly grasp their varied risks and goals
  • Able to initiate, coordinate and execute contract negotiations and other complex projects with minimal oversight;
  • Able to balance and prioritize competing stakeholders, deadlines, and interests in a professional and courteous manner;
  • Comfortable working with all levels of internal and external partners
  • Extremely organized with great attention to detail;
  • A clear, concise, and effective written and verbal communicator;
  • Committed to data-driven decision-making;
  • Dedicated to fostering the legal-business partnership;
  • Able to demonstrate an ongoing commitment to staying up-to-speed on key legal issues in evolving regulatory regimes; and
  • Inquisitive, with the ability to spot issues and formulate creative solutions to address them

  • Have a high degree of professionalism and integrity, with ability to handle confidential information appropriately.

Required Qualifications

  • J.D. from an accredited law school
  • Licensed and admitted to practice law in good standing in at least one U.S. state
  • Minimum 5 years of relevant legal experience at a top law firm and/or in-house (a combination of both is a plus), working on complex commercial transactions and other corporate matters
  • Experience with technology, software, financial services, healthcare or other related fields
  • Experience with customer contracting; and/or a wide variety of commercial contracts
  • Self-starter with the ability to problem solve and formulate solutions independently, and take ownership to drive contract negotiations and projects through to concrete implementation or resolution

Preferred Qualifications:

  • Knowledge of U.S. data privacy laws and GDPR and experience negotiating related contractual provisions a plus
  • Experience negotiating media and/or IP licensing and ownership agreements a plus
  • Experience with global legal operations
