In addition, the paralegal will assist Boston Financial, a wholly owned subsidiary of a large public company, with its corporate compliance responsibilities. Incumbent has a high level of responsibility to work closely with the real estate paralegal, account managers and portfolio managers to deliver consistent and efficient legal support to institutional investors. ESSENTIAL DUTIES & RESPONSIBILITIES Create, qualify, maintain and dissolve investment and corporate entities (corporations, limited liability companies, limited partnerships and limited liability limited partnerships) and process vendor invoices regarding these entities (statutory representation, annual reports, good standing certificates, certified organizational documents, and formation and dissolution filings). Obtain EINs for new entities from the IRS. Draft formation and dissolution documents, annual reports, amendments to organizational documents, assignments and resolutions. Responsible for annual report filings for approximately 1300 entities. Maintain Boston Financial’s entity database and the electronic minute books for Boston Financial’s entities. Provide support to investment, refinancing, and disposition closings. STAKEHOLDERS Boston Financial Production, Asset Management, Capital Transactions, Fund Management, Legal, Accounting, Treasury, and Tax teams, and external legal counsel. EDUCATION, SKILLS, & EXPERIENCE Requirements Bachelor’s degree or equivalent in directly applicable experience and education Paralegal certification desired Minimum 5-6 years’ corporate paralegal experience Familiarity with affordable housing and LIHTC, preferred Strong analytical skills Strong communication skills to effectively interact with internal and external stakeholders Strong writing skills Strong active listening skills to understand needs and concerns of stakeholders and support positive outcomes Strong client focus with demonstrated ability to interact effectively with Company personnel as well as external stakeholders, where necessary Ability to identify and continuously improve upon process, policy, and methods Strong organizational and time management skills, including the ability to work independently with minimal supervision and manage multiple, diverse projects concurrently Strong critical thinking skills Strong problem-solving skills Proficiency using Microsoft Office applications Ability to leverage technology to create efficiencies and streamline processes ORIX Corporation USA and its affiliates (“ORIX Group USA”) strive to achieve as safe an office environment as possible for employees.
