Active International is Hiring an Associate General Counsel Near Pearl River, NY

Overview

The position of Associate General Counsel is to provide legal review, advice and support on a broad range of legal matters for the domestic and international business of Active International including commercial contracting (review, negotiate and draft a wide variety of agreements including, but not limited to purchase and sale, corporate trading, media purchase, cross purchase, finders/consulting, confidentiality/NDA, strategic alliances, joint venture, etc.), compliance, corporate governance and general corporate matters.

Responsibilities

Work closely with and under direction of General Counsel to service the legal and business needs of all business departments and subsidiaries.Position will have significant responsibility for a diverse range of commercial, legal, and compliance matters, including high profile and complex matters.

Position requires strong negotiate and drafting skills and broad range of corporate experience.

Assess proposed transactions and develop deal structures to minimize legal and business risks.

Participate in client conferences and meetings to facilitate closings.

Collaborate with domestic/international outside counsel to understand the legal implications of Active’s global corporate trading transactions and real estate transactions and to develop appropriate transaction structures.

Coordinate with inside/outside counsel on a variety of issues, including, commercial, real property, employment, bankruptcy, litigation, privacy, and intellectual property.

Provide legal advice and handle employee-related matters in conjunction with the Human resources Department as needed.

Provide ad hoc legal advice/counsel and work closely with internal clients and respective business units on company activities.

Qualifications

Juris Doctor or LLB degree required.NY Bar admission required.Must have 15 to 20 years of legal experience with primary focus in corporate/commercial law with atop nationally recognized law firm preferred or in combination with in-house experience. Background inmergers and acquisitions a plus.Experience with International law, employment law, and/or privacy and data protection laws including GDPR a plus.Fluency in French or Spanish, a plus.Must be proficient in Microsoft Word.Ability to work in a fast-paced environment. Must have strong organizational skills and good business judgment with ability to build and maintain strong functional working relationships.Highly organized, creative problem solver with superior time management skills and ability to manage competing priorities often under tight deadlines.

TravelThis position does not require any regularly scheduled travel.
